Terms of Use

These Terms of Use (“Terms”) govern access to and use of https://www.gogotech.io and GoGoTech IMS (the “Service”) operated by GoGoTech (“we”, “us”, or “our”). By creating an account, signing in, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

GoGoTech IMS is a business operations platform for inventory, sites, energy, and related workflows. We may change, suspend, or discontinue features. The Service is provided for authorized users only. You must be at least 18 and able to form a binding contract.

2. Accounts

You are responsible for credentials issued to you, for activity under your account, and for keeping contact details accurate. Notify us promptly of unauthorized access. We may suspend or terminate access for security, non-payment, or violation of these Terms.

3. Messages and emails

By providing an email address or mobile number, or by using GoGoTech IMS, you agree that we may send you service, account, and operational messages and emails. Consent to receive texts is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

Message frequency varies. You may receive account, security, and operational messages when events occur (for example invitations, alerts, or status notices). Typical volume is a few messages per week when your sites are active. We do not send daily marketing texts.

Message and data rates may apply. Every email we send includes an unsubscribe link. You can opt out of non-essential email alerts by using that link, or from your profile or user settings. Transactional messages required to operate your account (such as password or invitation mail) may still be sent. To opt out of text messages, reply STOP to any SMS from us. After we process STOP we will send a one-time confirmation and then stop texts to that number, except as required by law or to confirm a later opt-in. Reply HELP for help, or email ops@gogotech.org.

You represent that any mobile number or email you provide is yours or that you are authorized to receive messages at that address, and that you will not enroll numbers you do not control.

4. Acceptable use

You agree not to:

• Use the Service in violation of law, including privacy, export, and anti-spam rules.
• Attempt to gain unauthorized access, probe, or disrupt the Service or related systems.
• Upload malware or scrape the Service except through documented APIs we provide to you.
• Misrepresent your identity or send messages through the Service to people who have not consented where consent is required.
• Reverse engineer the Service except where that restriction is prohibited by law.

5. Customer data

Your organization retains rights to data it submits. You grant us a limited license to host, process, and display that data solely to provide the Service. You are responsible for having the rights and consents needed to submit data, including contact details of your users and customers.

6. Intellectual property

The Service, including software, design, and GoGoTech marks, is owned by GoGoTech or its licensors. These Terms do not transfer ownership. You may not copy, modify, or create derivative works of the Service except as we expressly allow.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that operational alerts will arrive without delay. Message delivery depends on carriers and third-party networks.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOGOTECH AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE PAID NOTHING.

9. Indemnity

You will defend and indemnify GoGoTech against claims arising from your use of the Service, your data, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

10. Governing law

These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules, unless a mandatory local law applies to you as a consumer. Courts located in Texas have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.

11. Changes and termination

We may update these Terms. The “Last updated” date will change, and continued use after an update constitutes acceptance. You may stop using the Service at any time. Provisions that by their nature should survive (including sections 5–10) will survive termination.
